Rio de Janeiro, Brazil/Hamilton, Bermuda, 1 March 2023: Reference is made to the announcement made on 17 February 2023, regarding the notice of a special general meeting in Seacrest Petroleo Bermuda Limited (“Seacrest Petroleo” or the “Company”, OSE ticker code “SEAPT”) to consider a reverse share split in order to reduce the number of the Company’s issued shares and thereby to increase the market value of the shares above NOK 10, as mandated by the rules of the Oslo Stock Exchange.
The notice was originally issued to shareholders of the Company on 17 February 2023 in order to comply with the requirements of the Oslo Stock Exchange (as explained in further detail in the exhibit to the meeting notice). As the record date for the meeting has been set as 27 February 2023 (after closing of the Company`s initial public offering) and as further shares in the Company have been issued by the Company since 17 February 2023 in connection with the Company’s initial public offering, which has now been completed, the notice will now be circulated again to all shareholders as of the record date for the meeting.
In order to ensure that all shareholders, including the new shareholders of the Company following the initial public offering, have sufficient notice of the meeting, we have changed the meeting date to 29 March 2023. Please note that the meeting date has changed.
The special general meeting will be held at 10 am Bermuda time/3 pm CET on 29 March 2023 at Victoria Place, 31 Victoria Street, Hamilton HM10, Bermuda, in person or by videolink, as permitted under bye-law 100 of the Company’s bye-laws.
