Reference is made to the announcement published on 23 February 2023 regarding the share lending pursuant to which Seacrest Partners III, L.P. (“Seacrest Partners III”) granted ABG Sundal Collier ASA an option to borrow up to 40,333,333 shares in Seacrest Petroleo Bermuda Limited (the “Company”) to facilitate settlement in the initial public offering in the Company.
All of the borrowed shares have today been returned by ABG Sundal Collier ASA to Seacrest Partners III (the “Transaction”).
Seacrest Partners III is a close associate of the Company’s executive chairman Erik Tiller and board member Paul Murray, who each indirectly owns 50% of Seacrest Partners III GP Limited, the general partner of Seacrest Partners III.

Following the Transaction, Seacrest Partners III holds 63,258,199 shares in the Company, corresponding to approximately 9.665% of the total number of shares and votes in the Company. Consequently, Seacrest Partners III has exceeded the 5% threshold pursuant to section 4-2 of the Norwegian Securities Trading Act.
Following the Transaction, on a consolidated basis, Seacrest Partners III and its related parties hold in aggregate 67,917,365 shares in the Company, corresponding to approximately 10.377% of the total number of shares and votes in the Company, including the 2,925,833 shares held by Erik Tiller and the 1,733,333 shares held by Paul Murray. Consequently, Seacrest Partners III and its related parties have exceeded the 10% threshold pursuant to section 4-2 of the Norwegian Securities Trading Act on a consolidated basis.
In total, Seacrest Partners III and its related parties hold 67,917,365 shares corresponding to approximately 10.377% of the total number of shares and votes in the Company.
